Terms of Service

These Terms of Service (“Terms”) govern your use of Collective Rates (the “Service”), operated by SomexAI Applications Group, LLC (“SomexAI,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What the Service is — and isn't

Collective Rates is a platform that helps neighbors in the same subdivision express interest in providers as a group, and lets vetted vendors submit offers to serve those neighborhoods. We are a marketplace and coordination tool only.

• We are not a service provider and do not provide the services, or set the prices that companies offer.
• We are not a party to any service agreement you enter into with a vendor. Any contract for service is solely between you and that company.
• Savings figures and calculators are estimates only and are not guarantees. Actual pricing depends on the offers companies submit and the agreement you reach.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. If you submit a residential campaign, you represent that you live at, or are authorized to act for, the address you provide.

3. No obligation until a deal is accepted

Submitting your information and pledging interest (Interested, Maybe, or Not interested) is a non-binding indication of interest. It does not create any obligation for you to switch providers, and it does not obligate any company to provide service. You are only bound if and when you separately enter into an agreement directly with a vendor.

4. Resident responsibilities

• Provide accurate, current information, and keep it up to date.
• Submit one entry per household and vote only for addresses you are authorized to represent. One vote per offer is permitted, verified by email or account login.
• Do not attempt to manipulate campaign statistics, impersonate others, or submit fraudulent entries.

5. Vendor responsibilities

• You must create an accurate company profile. New accounts are subject to review and approval before offers can be submitted, and approval may be declined or revoked at our discretion.
• Offers you submit must be accurate and made in good faith, and you must honor them according to their stated terms and expiration.
• You may update or withdraw an offer through the Service, but you remain responsible for offers residents have relied upon in accordance with their terms.
• You may access only anonymized statistics for qualified campaigns and must use that information solely to evaluate and submit offers. You may not attempt to re-identify residents or use the data for unrelated marketing.

6. Fees and business model

The Service is currently free for residents. SomexAI may receive referral fees, per-home commissions, or other compensation from vendors in connection with deals facilitated through the Service. Any such arrangements do not change the price a company offers to your neighborhood through the Service.

7. Accounts and security

You are responsible for activity that occurs under your account and for keeping your access credentials secure. Notify us promptly at support@somexai.com of any unauthorized use.

8. Acceptable use

You agree not to:

• Violate any law or the rights of others;
• Submit false, misleading, or fraudulent information;
• Interfere with, disrupt, scrape, or attempt to gain unauthorized access to the Service or its data;
• Use the Service to send spam or unsolicited communications.

9. Intellectual property

The Service, including its design, text, and logos, is owned by SomexAI and protected by applicable laws. We grant you a limited, revocable, non-exclusive license to use the Service for its intended purpose. You retain ownership of the information you submit and grant us a license to use it to operate and improve the Service consistent with our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, that estimates will be accurate, or that any company will submit an offer or that any savings will be achieved.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMEXAI AND ITS OFFICERS, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY DEALINGS WITH A VENDOR. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

12. Indemnification

You agree to indemnify and hold harmless SomexAI from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or for any lawful reason. You may stop using the Service at any time and request deletion of your information.

14. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in North Carolina will have exclusive jurisdiction over any dispute arising from these Terms or the Service, and you consent to venue there.

15. Changes to these Terms

We may modify these Terms from time to time. We will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
